Investors and advocacy organizations have recently become more active in using corporate governance structures to affect business decisions on political and social issues ranging from environmental protection to gun control to human rights. This trend raises the broader question of the extent to which the private sector should engage on public policy issues, and more specifically whether the current corporate governance structure was designed to facilitate these activities.
What, then, is the proper role of a corporation? Is it solely to benefit its shareholders? Is it a balancing act between its shareholders and other relevant stakeholders? Or is it for the general public benefit involving a multitude of stakeholders?
BPC has invited former SEC Commissioners Dan Gallagher and Roel C. Campos to discuss the role of a corporation in today's society. The commissioner will also discuss recent SEC actions regarding proxy advisors and investment advice relying on environment, social, and governance (ESG) issues.
