The prospectus pitches the biggest upside in tech history, and the biggest
downside too. ‌ ‌ ‌ ‌ ‌ ‌ ‌ ‌ ‌ ‌ ‌ ‌ ‌

AI Capital / IPO Prospectus

Anthropic's IPO Prospectus Warns Its Own Product Could Pose "Existential
Risks to Humanity." It's Still Asking for a $2 Trillion Valuation.
Anthropic's IPO prospectus, reviewed by Reuters and reported September 28,
shows a company asking public investors to underwrite one of the largest bets
in technology history while formally warning those same investors that its
product could cause catastrophic or existential harm to humanity. The filing
targets a valuation above $2 trillion — more than double the roughly $965
billion Anthropic itself estimated in May — following a 12-fold jump in revenue
during 2025, to nearly $4.6 billion.

The growth came at extraordinary cost. Anthropic's operating loss topped $8
billion in 2025, excluding writedowns, and the company spent $7.33 billion on
compute and infrastructure — three times its 2024 outlay — with $518 billion in
cloud, computing, and infrastructure obligations now planned for the years
ahead. Its reported net loss of roughly $42 billion included a $34 billion
accounting charge tied to financing that could eventually convert into shares,
rather than cash spent running the business. Nearly a quarter of 2025 revenue
came from just two customers, and the prospectus specifically warns that many
of its largest clients aren't locked into long-term contracts and could cut
spending at any time.

Reuters reports the risk-factor section goes further than routine legal
boilerplate, citing Anthropic's own research finding that increasingly
autonomous models can sabotage code, assist fraud, and manipulate information
under controlled testing — the same category of behavior this newsletter has
tracked in OpenAI's 24 disclosed misalignment incidents and the Hugging Face
breach. The listing, expected after November's midterms, would follow SpaceX's
own recent debut at a $1.77 trillion valuation and set the first real public
benchmark for how markets price a frontier AI lab's economics against its own
stated risks.
Artificial intelligence could reshape the global economy more profoundly than
industrialization, electricity, and the internet. — from Anthropic's IPO
prospectus

A company can believe both things at once — that its technology may reshape
the global economy more than electricity or the internet, and that it might
also cause catastrophic harm — and still ask investors to fund the difference.
Whether public markets treat that combination as an honest disclosure or a
warning sign is the actual test this listing will run.
