Amazon's $107 Billion Debt Binge Reshapes Credit Markets Forever
Amazon just did something that would have looked insane five years ago. The
e-commerce and cloud giant issued $107 billion in debt over twelve months—more
than the entire annual borrowing of most Fortune 500 companies. And it's not
alone. Alphabet raised $31.5 billion in February 2026, including a 100-year
century bond. Meta, Microsoft, and Oracle are flooding the market with
long-dated paper at the same time. The result is a structural shift in
corporate credit that's reshaping how institutional investors think about
duration, spreads, and tech balance sheets.
This isn't a cyclical blip. It's a permanent repricing of how Big Tech funds
artificial intelligence infrastructure. For decades, hyperscalers funded growth
through organic free cash flow and selective equity issuance. Now they're
tapping debt markets at three times the historical pace. In 2025 alone,
hyperscaler issuance jumped to $109 billion to $121 billion—a threefold surge
from the $28 billion to $35 billion annual average of 2020 to 2024. Through
August 2026, the group has already issued $194 billion to $220 billion, with
full-year AI-related tech debt expected to hit $279 billion to $540 billion.
The math is brutal and inescapable. Aggregate capital expenditure among
Alphabet, Amazon, Meta, Microsoft, and Oracle is projected to reach $750
billion to $796 billion in 2026 alone—roughly 38% of combined revenues. That's
a staggering commitment. Free cash flow generation, even at these giants'
scale, cannot absorb that rate of capex sustainably. So they're going to the
bond market. Repeatedly. And the market is accommodating them in a way that's
starting to create real structural problems.
// The Mega-Deal Concentration Problem
Here's where it gets scary for credit investors: seven of the nine corporate
debt sales exceeding $20 billion in 2026 came from tech hyperscalers. That's
not diversification. That's concentration risk that's becoming increasingly
hard to ignore.
Amazon alone priced a $37 billion jumbo bond sale in March 2026—the
fourth-largest corporate issuance in history. That deal alone was larger than
the annual issuance of entire subsectors of the investment-grade market. Then,
in July, Amazon came back with a surprise $25 billion, eight-tranche deal
spanning 3- to 40-year maturities. The company essentially said to the market:
we're going to borrow when we want, at the size we want, and investors will buy
it because we're Amazon.
The bond market accommodated both deals without meaningful pushback. Spreads
barely widened. Price discovery looked almost non-existent. This is the
signature behavior of a market that's become one-directional. Demand from index
funds, liability-driven investment (LDI) strategies chasing duration, and
passive allocation flows overwhelmed fundamental credit analysis. The result:
hyperscaler credit now trades at a discount to the broader investment-grade
benchmark despite carrying substantially higher duration and capex intensity.
That's not normal. That's not rational. And it won't last.
// Duration Saturation and Benchmark Pollution
The second structural problem hiding in plain sight is duration contamination
in corporate bond benchmarks. When Amazon issues $25 billion in 40-year bonds
and Alphabet issues century bonds, those instruments immediately get inducted
into indices that investors passively track. The duration profile of the
Bloomberg US Investment Grade Corporate Bond Index shifts materially higher.
Bond funds that aren't actively hedging duration end up with far longer
effective durations than they realize.

Once FCF growth can't sustain capex spending, spreads will reprice sharply.
Front-run that by moving out of long-dated tech credit now and rotating into
shorter-maturity investment-grade names where spreads still offer genuine
compensation for risk. The mega-deals are a warning signal, not an endorsement.
A typical institutional bond portfolio built in 2020 might have had an
effective duration of 5 to 6 years. That same portfolio, held passively today,
likely has an effective duration closer to 7 to 8 years—purely as a function of
hyperscaler mega-issuance pulling the benchmark longer. The investor never made
an active decision to extend duration. It happened to them. This is especially
dangerous in an environment where interest rates have normalized and are
unlikely to fall dramatically from here. Long-dated duration exposure is no
longer a one-way bet.
Moreover, the mega-deals are saturating primary market demand. When Alphabet
issues $31.5 billion in a single transaction, order books tighten. The typical
$3 billion to $5 billion investment-grade corporate deal finds itself competing
with that scale for the same pool of capital. Mid-market companies—the ones
that actually drive economic growth and employment—are getting crowded out of
the market. Their cost of capital is rising not because their credit quality
deteriorated, but because a handful of hyperscalers decided to issue debt at
unprecedented scale.
// The Free Cash Flow Narrative That's Quietly Evaporating
For years, tech investors have lionized Amazon, Google, and Meta for their
capital efficiency and free cash flow generation. Jeff Bezos built his entire
business strategy on the idea of durability through reinvestment. Sundar Pichai
and Mark Zuckerberg have both emphasized disciplined capex allocation.
That narrative is collapsing. When a company is issuing $107 billion in debt
over twelve months to fund capex, the story changes. You're no longer
self-funding growth. You're leveraging up to fund it. That's a structural shift
in financial policy that most equity analysts haven't fully processed.
The capital efficiency argument was always somewhat mythical—these companies
generate enormous free cash flow, but they've also had access to cheap equity
capital through stock buybacks and employee stock compensation that shifted the
burden of capex financing to debt markets. Now, as capex intensity accelerates
due to AI infrastructure buildout, they're explicitly choosing debt over
equity. That choice reveals something important: they believe their stock
prices don't fully justify dilution. They'd rather have creditors assume the
risk.
For bondholders, that's a yellow flag. When equity is the expensive capital
source, management reserves it carefully. When debt becomes cheaper (via
favorable spreads and 40-year maturities), it gets deployed aggressively.
Amazon's path from $0 debt in the mid-2010s to $107 billion issued in one year
shows how quickly that can accelerate.
// Spread Compression and the Illusion of Safety
Hyperscaler credit spreads have compressed significantly even as the group's
capex intensity has soared. This is the clearest sign that the market is
mispricíng risk. A company issuing $25 billion in 40-year bonds is taking on
significant refinance risk, duration risk, and execution risk around its capex
returns. Yet the credit spread—the extra yield investors demand—has compressed
to levels below the broader investment-grade market.
This is happening because index-driven capital flows overwhelm fundamental
analysis. A bond index fund doesn't evaluate whether 40-year Amazon debt fairly
compensates investors for a four-decade commitment. It just buys it because
it's in the index. Liability-driven investment strategies seeking specific
duration targets don't care about spread—they care about matching liabilities
with assets of matching duration. Hyperscaler issuance provides that. The price
gets bid up. Spreads compress.
Risk FactorDuration contamination in passive bond indices means your fund is
likely carrying 1.5 to 2 years more effective duration than you realize purely
due to hyperscaler mega-issuance concentration. If rates rise or tech credit
reprices, that hidden duration exposure will compound losses. Hyperscaler
spread compression is a mirage driven by index flows, not fundamental credit
improvement. When flows reverse, the reversal will be brutal.
In a normal credit market, a company increasing leverage from 0 percent to
materially positive levels would see spreads widen. Instead, they've
compressed. That disconnect is the market's way of signaling that something is
misaligned between price and fundamental risk.
// The Capex ROI Question Nobody's Asking Loudly Enough
Underlying all of this is a question that credit investors should be obsessing
over but largely aren't: what return will hyperscalers generate on $750 billion
to $796 billion in annual capex?
AI infrastructure capex is notoriously difficult to forecast in terms of cash
payback. Nobody really knows if training next-generation large language models
will generate sufficient incremental revenue to justify the spend. Google,
Amazon, and Meta are all betting billions on AI, but the actual monetization
path remains murky. If capex ROI falls materially short of expectations, these
companies won't generate sufficient free cash flow to service massive debt
loads, especially the long-dated paper.
A decade of cheap capital encouraged these companies to think in terms of
optionality and long-term optionality value. But when you're issuing century
bonds, you're no longer operating with optionality. You're making a 100-year
commitment to pay principal and interest. That shifts the risk calculus
entirely.
// Forward-Looking Positioning: What's Coming Next
The supply surge is almost certainly going to continue through 2027 and 2028.
Capex budgets won't decline. If anything, competitive AI dynamics will drive
spending higher. Amazon will issue more debt. Alphabet will issue more debt.
The group will continue saturating credit markets.
This eventually forces either spreads to widen materially or credit quality
expectations to reset. Neither happens painlessly. When indexing breaks—and it
will, because you can't sustainably misprice credit forever—the repricing will
be sharp. Investors sitting in wide-duration, hyperscaler-heavy portfolios
built passively will face real losses as spreads normalize and duration
compounds those losses.
The intelligent play right now isn't to fight the flow. It's to recognize that
this market structure is temporary and to position accordingly. Buy
shorter-duration investment-grade credit where spreads haven't compressed yet.
Avoid the 30-year and 40-year hyperscaler deals entirely unless you're getting
compensated for genuine refinance risk. And watch the capex ROI metrics
obsessively—if cash flow deteriorates and spreads don't widen preemptively,
you'll have a market dislocation event.
Amazon's $107 billion issuance sprint is a symptom of structural excess in
credit markets. It won't end with a whimper.
