The Minnesota Department of Revenue reminds businesses that the Pass-Through Entity (PTE) Tax election must be made by the entity’s extended due date. For calendar year filers, this is September 15, 2025.

Election Requirements

You must make the election by the due date or extended due date of the entity’s income tax return. You may make the election on an amended return filed on or before the extended due date for the entity’s return.

What if I file and elect to pay PTE Tax after the extended due date?

If you file a return electing to pay PTE Tax after the extended due date, your return will be adjusted, and the PTE election will be denied.  

A qualifying entity cannot elect to pay PTE Tax after the extended due date of the return.

If you provided Minnesota Schedules KS or KPI to your qualifying owners, you must notify them that the PTE tax credits reported on the schedules cannot be claimed. 

If the qualifying owners have already filed an income tax return claiming these credits, they must amend their return to remove the credits claimed. 

*Reminder:* Nonresident withholding is required for nonresident individuals whose qualifying entity cannot elect to pay PTE Tax and do not elect to pay composite income tax.
