On July 19, 2023, the US Department of Justice and the Federal Trade Commission introduced draft Merger Guidelines (dMGs) for public review. Once finalized, they will dictate US antitrust enforcement on corporate mergers. In this brief, Gregory Werden reveals that, unlike previous guidelines, these dMGs do not promote the rule of law, failing to clearly identify which mergers will be challenged and which will not.
